VENDOR TERMS AND CONDITIONS Last Updated: January 01, 2026 Effective Date: January 01, 2026 PARTIES: WA Cloudx ("Company," "we," "us," "our"), the provider of the WhatsApp software solution. The Vendor ("you," "your," "Reseller," "Partner"), the individual or business entity authorized to use or resell the WA Cloudx platform. By registering as a Vendor on https://wacloudx.in , you agree to be bound by these Vendor Terms & Conditions ("Vendor Terms"). 1. Definitions "Software" refers to the WA Cloudx web application and its related tools. "End User" refers to the customer you recruit or sell to, who will use the Software. "Reseller Panel" refers to the specific dashboard or backend access provided to you to manage your End Users, pricing, and commissions. "Commission" refers to the revenue share or discount provided to you by WA Cloudx. 2. Vendor Eligibility and Registration 2.1 You must be a legally registered business or an individual of legal age (18+) to act as a Vendor. 2.2 You agree to provide accurate and complete business information during registration. Failure to do so may result in immediate termination of your Vendor account. 2.3 WA Cloudx reserves the right to approve or deny any Vendor application at our sole discretion. 3. Vendor Rights and License 3.1 Subject to these Terms, WA Cloudx grants you a non-exclusive, non-transferable, revocable right to: Access the Vendor Reseller Panel. Market and distribute access to the WA Cloudx Software to End Users. Use our marketing materials and brand name solely for the purpose of promoting WA Cloudx. 3.2 You may not: Modify, adapt, or reverse engineer the Software. Sell "lifetime" access plans to End Users unless explicitly approved in writing by WA Cloudx. Represent yourself as an employee or official partner of WhatsApp or Meta. 4. Financial Terms and Commissions 4.1 Pricing: WA Cloudx provides you with a base price list (Wholesale Price) for our services. You are free to set your own retail pricing for End Users, provided it does not violate any applicable laws regarding deceptive pricing. 4.2 Commission Structure: Your commission is the difference between the amount paid by the End User (Retail Price) and the base price charged by WA Cloudx (Wholesale Price). Commissions are earned only when the End User’s payment is successfully received and cleared. 4.3 Payouts: Payouts will be processed on a [Weekly/Monthly] basis. You are responsible for providing accurate payment details (Bank Account, UPI, etc.). Any transaction fees (bank transfer fees, gateway fees) may be deducted from the payout amount. 4.4 Refunds: If an End User requests a refund and it is approved under our Refund Policy, the corresponding commission for that sale will be deducted from your future payouts. 5. Vendor Responsibilities 5.1 Support: As the primary point of contact, you are responsible for providing first-level support to your End Users. Technical issues that cannot be resolved must be escalated to WA Cloudx via visitorstop55@gmail.com. 5.2 Compliance: You are responsible for ensuring that the End Users you onboard comply with the main WA Cloudx Terms & Conditions and WhatsApp's policies. WARNING: You must educate your End Users about anti-spam laws. If your End Users get their WhatsApp accounts banned due to spamming, you (the Vendor) may be held liable for damages or loss of reputation. 5.3 Marketing: You agree to market WA Cloudx ethically. You will not use spam, misleading advertising, or false claims (e.g., promising "Unlimited Messages" if such limits are imposed by WhatsApp). 6. Intellectual Property 6.1 You acknowledge that WA Cloudx retains all rights, title, and interest in and to the Software, including all intellectual property rights. 6.2 You may not remove any copyright or proprietary notices from the Software or marketing materials. 7. Confidentiality As a Vendor, you may have access to non-public business information, pricing strategies, or technical details of WA Cloudx. You agree to hold this information in strict confidence and not disclose it to any third party (including competitors) without our prior written consent. 8. Relationship of Parties 8.1 Nothing in these Vendor Terms shall be construed as creating an agency, partnership, joint venture, or employer-employee relationship between you and WA Cloudx. 8.2 You are an independent contractor. You are solely responsible for your own taxes, insurance, and business expenses. 9. Limitation of Liability (Vendor Specific) 9.1 WA Cloudx is not liable for any lost profits, loss of business, or damages resulting from: Changes made by WhatsApp/Meta that render the Software partially or fully inoperable. Actions taken by End Users that result in account bans or legal trouble. Downtime or technical issues related to the Software. 9.2 Our maximum liability to you shall not exceed the total commissions paid to you in the three (3) months preceding the claim. 10. Suspension and Termination 10.1 By You: You may stop acting as a Vendor at any time by providing written notice and ensuring you have fulfilled all obligations to your existing End Users. 10.2 By Us: We may suspend or terminate your Vendor account immediately if: You violate these Vendor Terms. You engage in fraudulent activity (e.g., creating fake End Users to claim commissions). You damage the reputation of WA Cloudx. 10.3 Upon termination, you must cease all marketing of WA Cloudx. Any outstanding commissions earned prior to termination will be paid out, provided there are no pending chargebacks or refunds associated with your sales. 11. Governing Law These Vendor Terms shall be governed by the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in [Your City, State - e.g., Mumbai, Maharashtra]. 12. Modifications WA Cloudx reserves the right to modify these Vendor Terms at any time. We will notify you of significant changes via email or a notice on the Vendor Panel. Continued participation as a Vendor after such changes constitutes your acceptance of the new terms. 13.
